These Terms and Conditions ("Terms") govern your access to and use of the website gethrcertified.com and the courses, programs, assessments, coaching, consulting, merchandise, and other services offered by HR Certified, LLC ("HR Certified," "we," "us," or "our") (collectively, the "Services").

Please read these Terms carefully. By accessing the Site or using any Service, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Definitions

"Content" means all materials made available through the Services, including course materials, assessments, videos, text, graphics, and the HR Masterclass curriculum.
"You" or "User" means any person who accesses the Site or uses the Services.
"Third-Party Platforms" means external services we use to deliver the Services, including Keap, MindEdge Learning, Square, and others.

2. About Our Services

HR Certified provides, among other things:

virtual and in-person HR certification test-preparation courses (including preparation for aPHR, PHR, SPHR, SHRM-CP, and SHRM-SCP exams);
The A to Z Certification Blueprint — our flagship cohort-based certification preparation program: a 14-week, exam-agnostic curriculum that maps a single body of HR knowledge to all four major HR exams (PHR, SPHR, SHRM-CP, and SHRM-SCP) and includes a diagnostic assessment (waitlist and program delivery may be hosted through Kajabi);
the HR Masterclass signature learning journey;
HR Certified University online courses (delivered through MindEdge Learning);
IDI (Intercultural Development Inventory) assessments;
the Project Management Skills Certified Professional (PMSCP®) program;
consulting, coaching, training, and speaking services; and
merchandise through our SWAG store (operated via Square).

We may add, modify, or discontinue Services at any time.

3. Certification Disclaimer (Important)

HR Certified provides test preparation and professional development only. HR Certified is not HRCI, SHRM, or any other certification body, and does not administer certification exams or issue certifications.

Enrolling in or completing our courses does not guarantee that you will pass any certification exam or earn any credential.
Exam eligibility, registration, administration, scoring, and the awarding of credentials are governed solely by the applicable certifying body (e.g., HRCI, SHRM), subject to their rules and fees.
HRCI®, SHRM®, and related marks are the property of their respective owners. Any reference to them describes our test-prep focus and, where applicable, our status as an approved provider; it does not imply that those organizations endorse any particular outcome.

4. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Services. By using the Services, you represent that you meet these requirements.

5. Registration and Accounts

Some Services require registration through us or through a Third-Party Platform (such as MindEdge). You agree to provide accurate, current information and to keep your credentials confidential. You are responsible for all activity under your account. Notify us promptly of any unauthorized use.

6. Fees, Enrollment, and Payment

Fees for courses, programs, assessments, and merchandise are described at the point of sale.
Payments and enrollments are processed through Third-Party Platforms (including MindEdge, Square, Kajabi, and Keap). Your use of those platforms is subject to their terms and privacy policies.
You are responsible for any applicable taxes.
Unless stated otherwise, enrollment secures your seat in a specific cohort, program, or course as described at purchase.

7. Refunds and Cancellations

Except where required by law or expressly stated otherwise in writing:

Live cohorts / instructor-led courses: cancellation requests received at least 7 days before the start date are eligible for a refund less any non-recoverable materials or processing costs; requests after that date, or after materials have been issued or the program has begun, are non-refundable. Seats may be transferred to a future cohort at our discretion.
Self-paced / University (MindEdge) courses: once access credentials or course keys are issued, purchases are non-refundable, subject to any separate MindEdge policy.
Assessments (e.g., IDI) and digital products: non-refundable once delivered or accessed.
Merchandise: governed by the Square store's stated return policy.

8. License to Course Materials

Subject to your compliance with these Terms and payment of applicable fees, HR Certified grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Content solely for your own personal, non-commercial educational use.

You may not:

copy, record, reproduce, distribute, publicly display, resell, sublicense, or share Content or access credentials with others;
use Content to build or deliver competing training or test-prep offerings; or
remove any proprietary notices.

All rights not expressly granted are reserved.

9. Intellectual Property

The Site and all Content, including the HR Masterclass and the PMSCP® program, and all trademarks, logos, and branding of HR Certified, are owned by or licensed to HR Certified and are protected by intellectual property laws. Nothing in these Terms transfers any ownership to you.

Third-party marks (including HRCI®, SHRM®, and partner marks) belong to their respective owners and are used for identification purposes only.

10. Acceptable Use

You agree not to:

use the Services for any unlawful purpose or in violation of these Terms;
interfere with or disrupt the Services or associated networks;
attempt to gain unauthorized access to any system or account;
upload malicious code; or
misrepresent your identity or affiliation.

We may suspend or terminate access for any violation.

11. User Submissions and Testimonials

If you submit comments, feedback, testimonials, or other content, you grant HR Certified a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content in connection with our Services and marketing. You represent that you have the right to grant this license and that your submission is accurate and not misleading. Do not submit confidential information belonging to your employer or a third party without authorization.

12. Results, Statistics, and Testimonials Disclaimer

Any statistics, outcomes, income figures, pass rates, or testimonials presented on the Site (including graduate counts and average income-increase figures) reflect the experiences of specific individuals or cited third-party studies and are not a guarantee or promise of any particular result. Your results depend on many factors, including your own effort, background, and the decisions of independent certifying bodies. Individual results will vary.

13. Third-Party Services and Links

The Services rely on and link to Third-Party Platforms (including Keap, MindEdge, Square, Kajabi, and YouTube). We do not control and are not responsible for the availability, content, terms, or practices of those third parties. Your dealings with them are solely between you and the third party.

14. Disclaimer of Warranties

THE SERVICES AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR OUTCOME (INCLUDING EXAM SUCCESS) WILL BE ACHIEVED.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HR CERTIFIED AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE [SIX (6) / TWELVE (12)] MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless HR Certified and its owners, employees, contractors, and partners from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles. The exclusive venue for any dispute not subject to arbitration will be the state or federal courts located in Fulton County, Georgia, and you consent to their jurisdiction.

18. Modifications to Terms and Services

We may modify these Terms at any time by posting the updated version with a new "Last Updated" date. Your continued use of the Services after changes take effect constitutes acceptance. We may also change, suspend, or discontinue any part of the Services.

19. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

20. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any program-specific terms, are the entire agreement between you and HR Certified regarding the Services.
Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
No Waiver: Our failure to enforce a provision is not a waiver.
Assignment: You may not assign these Terms without our consent; we may assign them freely.
